1. Acceptance
By creating an account, using the Service, or completing checkout, you agree to these Terms. If you accept on behalf of a company, you confirm you have authority to bind it. The Service is intended for business (B2B) use.
2. Who we are
Aquate Enterprises Pvt Ltd (“Aquate”, “we”, “us”) is a company registered in the Republic of Maldives under company registration number C13642021, with its registered address at G. Hulhumale' Lot No. 10058, Republic of Maldives. “You” or “Customer” means the business that subscribes to the Service.
3. The Service
Bizlight Business Suite is a cloud-based business management suite delivered online. It includes optional modules for Workforce (staff records, attendance, payroll and leave), Sales (point-of-sale, GST, quotes and invoices), Purchases (supplier bills, purchase orders and expenses) and Books (profit & loss, GST reconciliation and tax reporting). Available features depend on the modules included in your subscription.
4. Billing and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Paddle collects payment, issues invoices and receipts, and handles applicable taxes (such as VAT/GST) as the Merchant of Record. Your purchase is also subject to Paddle’s Checkout Buyer Terms. Please direct billing, payment and refund queries to Paddle (via the links in your receipt, or paddle.net), or contact us and we will help coordinate.
5. Accounts
You must provide accurate information, keep your login credentials secure, and are responsible for all activity under your account, including the users and staff seats you create. Please notify us promptly of any unauthorised use.
6. Licence and intellectual property
Aquate owns the Service, its software and its marks. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your paid subscription term. You may not resell, sublicense, copy, reverse-engineer or create derivative works from the Service.
7. Subscriptions, renewal and cancellation
Subscriptions are billed in US Dollars (USD) and renew automatically at the then-current price for the same period (monthly or annual) until cancelled. You can cancel auto-renewal at any time from your billing page or via the links in your Paddle receipt; cancelling is at least as easy as subscribing. We will give reasonable advance notice of any price change. Cancellation stops future renewals but is separate from a refund — see our Refund Policy.
8. Acceptable use
You agree not to use the Service unlawfully or to upload unlawful, infringing or malicious content; to disrupt, overload or gain unauthorised access to the Service; to scrape or reverse-engineer it; or to resell access. We may suspend or terminate accounts that breach this section.
9. Your data
You own the business data you upload (including staff, payroll, sales and accounting records). You grant us a licence to process it only to provide and support the Service. Our handling of personal data is described in our Privacy Policy, and a Data Processing Agreement is available to business customers on request. On termination you may export your data within a reasonable retrieval window before deletion.
10. Third-party services
The Service relies on third parties including Paddle (payments), Supabase (database and authentication), Vercel (hosting) and Google (sign-in). We are not responsible for outages or changes outside our control.
11. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and no formal service-level agreement applies unless separately agreed in writing. We may modify, add or discontinue features, with reasonable notice for material changes.
12. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law. The Service helps you organise and calculate figures but does not constitute financial, tax, accounting, payroll or legal advice; you are responsible for verifying outputs and complying with applicable laws.
13. Limitation of liability
To the maximum extent permitted by law, Aquate is not liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total aggregate liability arising from the Service is limited to the fees you paid for it in the 12 months before the claim. Nothing limits liability that cannot be excluded by law.
14. Indemnity
You agree to indemnify Aquate against claims arising from your misuse of the Service, your data, or your breach of these Terms or the acceptable-use section.
15. Term and termination
These Terms apply while you use the Service. Either party may terminate as permitted herein; we may suspend or terminate for breach or non-payment. On termination your right to use the Service ends, subject to the data-retrieval window in section 9.
16. Acceptance at checkout
By completing a purchase you accept these Terms and our Refund Policy, and acknowledge the auto-renewing nature of the subscription.
17. Governing law
These Terms are governed by the laws of the Republic of Maldives, and disputes are subject to its courts. Paddle’s Buyer Terms separately govern the payment transaction.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email, and continued use after the effective date means you accept the updated Terms. The “Last updated” date above reflects the current version.
